1. Websites Building & Hosting (Parts)

Websites Building, Hosting & Maintenance

1. Deposits & Retainers
All deposits, retainers, and prepayments must be paid in full before any work begins. No work will commence until required funds are received and cleared.

2. Domain Addendum
If a domain is purchased through KayCorp, the Client will be issued a Domain Addendum outlining the conditions of domain ownership, release, transfer, or migration.

  • Only domains attached to active Hosting & Maintenance Plans are eligible for transfer or migration.
  • Domains associated with payment plan accounts are eligible for transfer or migration only after the full payment plan balance is satisfied.
  • Accounts sent to Debt Recovery forfeit domain ownership indefinitely.
  • KayCorp reserves the right to sell, repurpose, disable, or dispose of the domain as part of the recovery process after the account has remained in Debt Recovery for sixty (60) calendar days.

3. Plug-ins & Pro-Features
Any “Pro” features, premium plugins, or licensed tools provided under KayCorp Hosting & Maintenance Plans are non-transferable and may not be migrated to outside hosting environments.

Upon termination or exit, the Client will be provided with a list of plugins and features used to enhance the website. Licensing does not transfer.

4. Client Provided Website Information
Clients are required to provide all website content, assets, and requested information in a timely manner in accordance with Website Maintenance & Updates policy.

  • Requested updates will be completed within seventy-two (72) hours of receiving complete and accurate information.
  • KayCorp is not responsible for publication delays caused by client procrastination, missing materials, incomplete submissions, or incorrect information provided by the Client.

5. Client related Editing Error Fees
Client plans INCLUDE routine updates. If a Client elects to make changes using back-end access, training is provided regarding image sizing, resolution, formatting, and system requirements.

  • A $500 correction fee per occurrence will be charged for errors caused by Client-initiated back-end edits that require KayCorp intervention to repair or restore functionality.

6.  Credit Reference for Positive Accounts
Upon written authorization, KayCorp may act as a positive credit reference for Clients whose accounts are in good standing and current on all payments.

7. Payments
Payments must be made in accordance with the payment plan, contract terms, and individual agreements associated with the Client’s account.

Failure to remit payment as agreed may result in late fees, service interruption, default status, or recovery action, as outlined in the applicable agreement and KayCorp policies.

Clients are responsible for reviewing their individual agreements for specific payment dates, amounts, and conditions.

8. Late Payment & Default Policy
A five (5) day grace period is provided on all invoices.

  • After the grace period, a $25 flat late fee will be applied.
  • An additional $25 late fee will be applied at 30 days past due.
  • An additional $25 late fee will be applied at 60 days past due.

Accounts remaining unpaid at 90 days past due will be considered in default and may be sent to collections.

Upon default:

  • Client agrees to be responsible for all reasonable collection costs, legal fees, and recovery expenses incurred in pursuing unpaid balances.
  • All discounts, promotional pricing, and payment plan concessions are void
  • The full, undiscounted balance becomes immediately due

Accounts with Domain Addendum Agreements sent to Debt Recovery forfeit domain ownership indefinitely. KayCorp may sell, repurpose, disable, or dispose of the associated domain(s) after the account has remained in Debt Recovery for sixty (60) calendar days.

*Accounts paid in full before the Debt Recovery deadline are eligible for Domain Hold Release.

Maintenance, Updates & Additions (& Labor)

1. Maintenance

Maintenance is included in your hosting plan – 1.5 hrs per billing cycle

This covers operational & functional capibilities:

  • Monthly order summaries
  • Annual Domain Registration
  • Plugin & theme updates
  • Security checks and vulnerability scans
  • Regular website backups
  • Performance optimization
  • Uptime monitoring
  • Database optimization
  • Basic troubleshooting and support

If you notice an issue before we do, let us know and it will be addressed with regular daily maintenance

2. Updates

Update Tickets
Informational, aesthetic, and functionality changes are included in your hosting & maintenance plan, with a allocation of 2 hours (up to 8 tickets) per billing cycle.

How to Request an Update:
Contact your account manager to submit an Update Ticket for website changes.

  • Each Ticket represents a 15-minute block of dedicated time.
  • A single Ticket can include multiple informational, aesthetic, or functional changes, or a combination of these.
  • Simple content and aesthetic updates typically require minimal time, and multiple such changes can often be completed within one Ticket.
  • Unused time within the allotted tickets will not roll over.
  • If a task requires more time, additional tickets may be allocated to complete the changes.
  • Client will be informed BEFORE incurring additional charges related to update tickets.

Client Responsibilities:

  • Please gather and provide all necessary content, assets, and information before requesting an Update Ticket. (Including images, captions, and all other items necessary to complete requested updates)
  • Updates will not begin until all requested content has been successfully submitted.
  • Completed updates will be delivered within 72 hours of receiving all required content.

Important Note:
KayCorp is not responsible for delays caused by late submissions, missing materials, incomplete information, or incorrect data provided by the client.

Additional Update Tickets:

  • Additional tickets beyond the included allotment will be billed at a discounted rate of $30 per ticket, itemized for billing as “Maintenance Fees” & Due on or before your next billing cycle.

Client related Editing Error Fees

Client Provided Information & Content Guidelines

Website Updates

1.  Client Provided Information

KayCorp deals with client information in three ways:

  • Client Provided Content – Content remains UNALTERED by KayCorp and is transferred DIRECTLY to release.
  • Optimized Content – Content provided to KayCorp is reviewed, edited and adjusted to improve clarity, readability, and searchability before release.
      • Required: Content Optimization Agreement
      • Site titles, Page Titles & Media Titles optimization included with Building & Hosting Services and adjusted with site performance to maximize effectiveness.
          • Changes are discouraged and may effect SEO, See Against Professional Guidance Policy
  • Asset Production – Content is produced by KayCorp at the request of the Client to fit a specific intent or purpose. Client approves Asset before release.
      • Required: Asset Production Agreement

2. Website Updates

Edit Tickets: Hosting plans allow for 2 hours each billing cycle split into Eight (8) Edit Tickets.  These are use for information and aesthetic updates & modifications. 

Each update is 

  • Client Provided Content must be provided in a timely manner
  • Requested updates will be completed within seventy-two (72) hours of receiving complete and accurate information.
  • KayCorp is not responsible for publication delays caused by client procrastination, missing materials, incomplete submissions, or incorrect information provided by the Client or representative

3. Content Size Guidelines

Written Content

Blog posts – 800-1,200 words — ideal for in-depth coverage and SEO

  • 500-700 words — suitable for quick updates or news.
  • 1,500+ words — used for comprehensive guides, detailed analysis, or authoritative content.

Captions

  • Short and impactful: Around 5-10 words for quick understanding and visual appeal.
  • Descriptive captions: Up to 15 words if more detail is necessary, but avoid lengthy sentences.

Web Page Information

  • Most effective web pages tend to be around 300 to 600 words for straightforward content broken into 5-8 digestible sections.
    • Header / Introduction: 50-100 words – What the page is about
    • Main Section: 100-150 words – What your thing is 
    • Main Section 2: 100-150 words What does it solve
    • Additional Details / Features: 50-100 words Why should they get it
    • Call to Action / Conclusion: 50-100 words How they get one for themselves
  • longer pages (up to 1,000 words) for more detailed information.

Product Descriptions

  • Product Image: 800 x 800 (pixels)
  • Short descriptions: 50-100 words — quick overview, great for listings or thumbnails.
  • Standard descriptions: 150-300 words — detailed enough to highlight features, benefits, and specifications.
  • In-depth descriptions: 300+ words — suitable for complex or technical products, providing thorough details

Reasonable Payment & Ethical Fees Policy

KayCorp is committed to ethical, transparent, and accessible service practices. We strive to offer affordable payment options for clients with limited resources and do not impose compounded or predatory simple or compounded interest charges on outstanding balances.

Interest-based penalties have been replaced by incremental, flat-rate late fees. Total late fees are capped at $75 per occurrence, ensuring fees remain reasonable and never escalate beyond this limit. *Multiple missed payments may result in multiple late fees over the course of your payment agreement.

Grace Period & Late Fee Waiver

We understand that life happens. Clients are encouraged to contact their assigned account manager before the end of the initial grace period if a payment may be delayed. When notified in advance, and depending on the circumstances, the account manager may—at their discretion—waive the initial late fee, provided payment is made within the 30-day reporting window.

If payment is not received before the next scheduled payment becomes due, the waived late fee will be reapplied, and the account will be marked as 30 days past due. Accounts marked 30 days past due are INELIGIBLE for Credit Reference until the account has been current 6+ months.

Payment Plans & Default Policies

Payments must be made in accordance with the payment plan, contract terms, and individual agreements associated with the Client’s account.

Failure to remit payment as agreed may result in late fees, service interruption, default status, or recovery action, as outlined in the applicable agreement and KayCorp policies.

Content Use License & Unused Content

Except where explicitly permitted (such as licensed templates), modification, editing, alteration, or derivative use of any content produced by KayCorp is strictly prohibited without prior written authorization.

All White-Label work produced by KayCorp contains a digital watermark or embedded identification marker used for authorship verification, misuse detection, and fraud tracking purposes.

Unauthorized modification, removal, or circumvention of digital identification measures constitutes misuse of intellectual property and may result in criminal enforcement action.

Any graphics, designs, creative assets, or content provided by KayCorp—whether donated, discounted, or included as part of a promotional or goodwill offering—are licensed to the Client for use, not ownership, unless otherwise stated in writing.

If the provided content is not published, displayed, or actively used by the Client within thirty (30) calendar days of delivery or planned execution, KayCorp reserves the right to revoke the license and reclaim all rights to the content.

Upon reversion:

  • KayCorp may reuse, resell, repurpose, modify, or redistribute the content at its sole discretion.

  • The Client may not use, publish, or distribute the content without written authorization.

  • Any future use by the Client will require a new agreement or licensing fee.

This policy applies regardless of whether the content was provided at no cost, reduced cost, or as part of a bundled service.

Clients requesting donated or promotional creative work acknowledge that acceptance constitutes intent to use. Failure to publish within the stated timeframe constitutes forfeiture of usage rights.

Mock-Up Use & Intellectual Property Protection Policy

All mock-ups, concepts, previews, drafts, and sample designs created by KayCorp are the exclusive intellectual property of KayCorp unless and until a full agreement is executed and payment is received.

Mock-ups are provided solely for evaluation purposes and may not be used, reproduced, shared, published, modified, or recreated—either in whole or in part—without written authorization.

All White-Label & Mock-up work produced by KayCorp contains a digital watermark or embedded identification marker used for authorship verification, misuse detection, and fraud tracking purposes.

If a Client declines to proceed with a project:

  • All rights to the mock-up remain with KayCorp.

  • The Client may not use the design, layout, concept, color scheme, or derivative elements in any form.

  • Any use of the mock-up or substantially similar design constitutes unauthorized use.

Unauthorized use may result in:

  • Immediate invoicing for the full standard design rate, or

  • Licensing fees retroactively applied, and/or

  • Formal takedown requests

  • legal recovery action.

KayCorp reserves the right to reuse, modify, resell, or repurpose declined mock-ups at its discretion.

Prize Resale & Transfer Policy

All prizes, awards, or promotional items (“Prizes”) provided by KayCorp are non-transferable, non-assignable, and intended solely for the winner’s personal use, unless otherwise explicitly stated in writing.

  • Winners may not sell, auction, trade, or otherwise transfer any prize without prior written permission from KayCorp for a period of 12 months from award delivery.

  • Unauthorized resale or distribution of a prize constitutes a violation of KayCorp’s terms and may result in one or more of the following actions at KayCorp’s discretion:

    • Revocation or repossession of the prize

    • Disqualification from current or future contests, promotions, or giveaways

    • Legal action to recover the prize, its value, or damages

KayCorp reserves the right to verify prize use and authenticity and may request proof that the prize is being used as intended including but not limited to photograph/video, receipts or other “reasonable” proof. Non-compliance may result in revocation of the prize.

By accepting a prize, the winner agrees to comply with this policy and acknowledges that any attempt to sell or transfer the prize without authorization may result in immediate enforcement action.

Acting Against Professional Guidance (AAPG) Policy

1. Purpose of This Policy

KayCorp General Creative Services provides expert consulting, creative design, marketing strategy, web development, and digital system implementation. Our recommendations are grounded in industry standards, platform requirements, usability principles, accessibility best practices, and real-world performance data from our clients and internal systems.

While clients retain ultimate decision-making authority, any decision to proceed contrary to KayCorp’s professional guidance will be made with full understanding that the client assumes responsibility for the outcomes. This policy defines the scope of KayCorp’s responsibility when client-directed actions override professional recommendations.

2. Independence & Vendor Neutrality

KayCorp is not a sales representative for any third-party software, platforms, or service providers. Our suggestions are based on:

  • Successful use within KayCorp’s own systems
  • Proven results on other client projects
  • Industry-accepted standards
  • Security, performance, and compatibility considerations

Clients may request alternative tools; however, KayCorp cannot guarantee performance, compatibility, or results when deviating from our recommendations.

3. Client Direction vs. Professional Guidance

When a client instructs KayCorp to implement decisions against our professional guidance, the project may proceed at the client’s discretion. However:

  • The client acknowledges being informed of potential risks, including but not limited to decreased performance, system conflicts, platform violations, reduced marketing efficiency, diminished search visibility, increased maintenance, or higher costs.
  • KayCorp will document such instances as Acting Against Professional Guidance (AAPG) in project records, referencing this policy.
  • KayCorp disclaims responsibility for any adverse outcomes resulting from these decisions.

4. Content Design & Creative Direction

KayCorp offers expert recommendations on visual layout, readability, accessibility, branding consistency, user experience, and messaging clarity. We are not responsible for negative outcomes caused by client-provided content or client-directed design choices, including but not limited to:

  • Excessive or unreadable text blocks
  • Color schemes that hinder accessibility
  • Misleading messaging
  • Overcrowded or inconsistent design
  • Unprofessional imagery
  • Restricted or inappropriate content

5. Client-Provided Content, Copywriting & SEO

5.1 Client Provided Content
We are not responsible for the quality, accuracy, or ownership of client-provided content unless explicitly included in a signed Content Optimization or Asset Production Agreement
KayCorp’s scope of work includes only basic website optimization (e.g., site titles, page titles, media titles). KayCorp is not responsible for optimization if changes are requested

5.2 SEO Best Practices
KayCorp adheres to industry-standard SEO guidelines. We do not guarantee search rankings, indexing, traffic, or visibility if the client overrides recommendations. Risks include, but are not limited to:

  • Keyword stuffing or hidden text
  • Duplicate, plagiarized, or offensive content
  • Excessive graphics replacing textual content
  • Removal or alteration of critical SEO elements
  • Improper redirects or AI-generated content misuse

We are not liable for penalties, de-indexing, or ranking drops caused by client decisions or content modifications.

6. Advertising & Marketing Strategy

KayCorp does not guarantee ad approval, reach, engagement, conversions, sales, or ROI. Effectiveness depends on targeting, platform policies, messaging, budget, and other factors.

If the client overrides recommended strategies—such as targeting, budget, messaging, branding, or platform selection—KayCorp accepts no responsibility for resulting performance issues or outcomes.

7. Placement & Content Integration

KayCorp advises on appropriate placement of ads, sponsorships, affiliate links, pop-ups, banners, and monetization tools. If placement choices negatively impact user experience or violate policies (e.g., intrusive pop-ups, misleading placements), KayCorp is not responsible for:

  • User complaints
  • Account suspensions
  • Payment processor restrictions
  • Ad network bans
  • Increased bounce rates

8. Third-Party Services & Integrations

KayCorp does not control third-party providers, including payment systems, plugins, hosting, CRMs, social media platforms, and analytics tools. We are not responsible for outages, contracts, policy changes, service discontinuation, updates, or data loss originating from ANY OUTSIDE providers. Compatibility of non-recommended integrations cannot be assured. 

KayCorp reserves the right to refuse or deny any third-party affiliate, plugin, or integration that may compromise system security, stability, or integrity, or that could otherwise negatively impact the quality and reliability of the services provided.

The client acknowledges that using third-party tools outside the recommended vendor network may result in issues such as prolonged system downtime, security vulnerabilities, data loss, or total system failure. In such cases, the client may be held liable for any and all damages, including costs associated with downtime, recovery, repairs, mitigation or legal action resulting of these issues, especially when caused by third-party providers not endorsed or supported by KayCorp.

9. Client-Selected Products & Services

If the client independently purchases or installs tools, plugins, themes, or engages third-party consultants not recommended by KayCorp, we are not liable for:

  • Performance issues
  • Security vulnerabilities
  • Data corruption
  • Billing disputes
  • Troubleshooting or repair of such issues may incur additional charges.

10. Web Design, Hosting & Technical Performance

While KayCorp follows best practices in responsive design, accessibility, and performance, we cannot control external factors such as hosting speed, internet quality, browser updates, or user devices. Therefore, we do not guarantee page load times, uptime, or search rankings.

11. Legal & Compliance Responsibilities

KayCorp does not provide legal advice. Clients are responsible for ensuring compliance with all applicable laws and regulations, including:

  • ADA accessibility, Privacy policies, Terms of service, Copyright and licensing, FTC disclosures, Industry-specific regulations

We may offer guidance or templates; however, ultimate responsibility for compliance resides with the client.

12. Acknowledgment & Right to Decline

By engaging KayCorp, the client acknowledges:

Recommendations are provided in good faith. Final authority over decisions rests with the client.
Proceeding against professional guidance transfers performance risk to the client.
KayCorp is not liable for any negative outcomes resulting from such decisions.

KayCorp reserves the right to decline or terminate services if client requests:

  • Violate platform policies or legal regulations
  • Could harm KayCorp’s systems, reputation or security
  • Require unethical or deceptive practices

Privacy, Email Marketing & Information Sharing Policy

KayCorp respects your privacy and does not sell or trade your personal information to third parties for marketing purposes.

By providing your contact information, you may be added to email marketing lists for KayCorp’s various brands, services, or client campaigns based on your interests. These emails may include updates, promotions, newsletters, events, or KayCorp Creative Tips subscriptions, including gift subscriptions.

  • You may unsubscribe from any individual list at any time using the unsubscribe link in the email. Unsubscribing generally removes you from that specific list only. In some cases, if multiple lists are managed under a single company or brand, unsubscribing from one list may affect other lists under the same management system. 

  • For those on multiple paid email subscriptions and would like to be removed from one or two, Please email us with your request.

  • Your information may be shared with select partners or directories when it is directly beneficial to you, such as referrals, Thrive directories, or other services you have opted into.

  • KayCorp will not share your information for unrelated marketing purposes.

By providing your information, you consent to receiving communications, referrals, and subscriptions in accordance with this policy. You may opt out of any communications or sharing at any time by contacting us directly.

  • Unsubscribe: You can unsubscribe from any individual list using the link in the email. This generally removes you from that specific list only. In some cases, if multiple lists are managed under one brand, unsubscribing from one list may affect other lists.

  • Direct benefit to you: Referrals, Thrive directories, or services you have opted into
  • Service providers: Third-party vendors who assist us in delivering services, under strict confidentiality agreements

We will never sell your information to unrelated third parties.

  • Request removal from our email lists (unsubscribe)
